Seller Terms

1. Eligibility

You may sell on ILEIQ Market if:

• you are at least 18 and can enter into a contract;
• you have the legal right to sell the goods you list and to fulfil orders; and
• you complete any identity or business verification we require (see our KYC & AML Policy). Some features, including receiving payouts and trading in bulk, are only available once verification is complete.

2. Listing and selling

You agree that:

• your listings are accurate, lawful and not misleading, with correct prices, descriptions, images and stock;
• the goods are as described, of satisfactory quality and fit for purpose, and you honour the buyer's statutory rights where they apply;
• you fulfil confirmed orders promptly and ship what was ordered;
• you do not manipulate ratings, post fake reviews, or buy your own listings; and
• you keep your account details and any business information up to date.

3. Fees and plans

Our fees are always shown before you commit, with no hidden charges. The current amounts are set out on our Pricing page; in summary:

• Commission: a flat platform commission on each B2C sale, deducted from your proceeds.
• Seller plans: an Individual plan that is free to join, lets you keep a limited number of active listings, and charges a small per-item fee on each unit you sell; and a Pro plan with a monthly subscription (with a free first month), unlimited listings and no per-item fee.
• Bulk trade (B2B): a separate commission on commodity trades, with a minimum fee, as shown on the Pricing page.

For the Pro subscription: we tell you the price and renewal terms before you subscribe, we remind you before your free trial ends and before the subscription renews, you can cancel online at any time, and if you are charged after a free trial you have a short cooling-off period to cancel for a refund, in line with UK consumer law. We deduct commission and fees from your sale proceeds before payout; you are responsible for your own taxes.

4. Escrow and payouts

Buyer payments are held in escrow and released to you after delivery is confirmed, or after the confirmation window passes without a dispute. For bulk trade, funds follow the contract, funding, shipping and quality-control steps shown in the platform. Payouts are made to your connected Stripe account. We may delay or withhold a payout where:

• an order is disputed or under review;
• verification is incomplete or further checks are needed;
• we reasonably suspect fraud, error or a breach of these terms; or
• we are required to by law.

5. Quality and compliance

Sellers must:

• comply with all laws that apply to their goods, including product safety, labelling, import/export and agricultural regulations;
• hold any licences or registrations their products require (for example for regulated agrochemicals or plant material); and
• respond to buyer queries, disputes and returns in good faith.

6. Prohibited items

You may not list or sell:

• anything illegal to sell or supply in the buyer's country;
• unregistered, banned or counterfeit agrochemicals, pesticides, veterinary medicines or inputs;
• protected or endangered species or products restricted under CITES;
• weapons, controlled drugs, or hazardous materials; and
• any other items we reasonably determine are unsafe, fraudulent or against these terms.

7. Disputes

If a buyer raises a dispute, our process helps resolve it and our escrow model means funds are only released when an order is confirmed or a dispute is decided. We may, acting reasonably and in good faith, release funds to you, refund the buyer in whole or in part, or ask for more information before deciding.

8. Suspension and termination

ILEIQ Market may suspend or end your selling access if you:

• break these terms or the law;
• repeatedly fail to fulfil orders or resolve disputes;
• put buyers or the platform at risk; or
• fail required verification.

Where we can, we will give notice and a chance to put things right. You may stop selling at any time, but remain responsible for open orders.

9. Liability

You are responsible for the goods you sell and for your compliance with the law. To the extent permitted by law, CAPIOV Ltd is not liable for your business losses, for buyers' acts, or for events outside our reasonable control; nothing here limits liability that cannot lawfully be limited. Where we are liable to you, our total liability is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

10. Governing law

These Seller Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
